The Governing Body includes members that are chosen among the founders and other members deemed required for a good management of the organization. The said members give proof of moral integrity and experience related to the issues of development and management of capitalistic businesses or non-profit enterprises.

 

The Governing Body shall meet, as per the section 30 of the Constitution, in ordinary session following the summoning of the President or at the request of two third of its members. The latter shall be informed at least fifteen (15) days earlier than the meeting date.     

 

The members of the Governing Body PHILANTHROPIC PROJECT INTERNATIONAL might invite any person they wish to attend their meetings on advisory basis. The right to vote is solely reserved to members of the Governing Body, each of them having one vote. As a matter of principle, proxies are not accepted. However, if the absence of a member of the Governing Body is duly justified and the proxy is deemed necessary, it shall be examined by other members of the Governing Body.

 

Composed of founders, the Governing Body includes: a President, a Treasurer, a Secretary, and the Assistant of the secretary. The present Governing Body is composed of founders and they have a five-year mandate that is renewable.

The President

 

The President of the Governing Body is the leader of PHILANTHROPIC PROJECTS INTERNATIONAL. On this account, he does see that members abide by the Constitution, the internal rules and regulations and safeguard the material and moral interests of the organization. He supervises the running of the organization and sees that the decisions of the General Assembly are executed. He acts as the legal, judicial and extrajudicial representative of the organization in any acts of civil life. He can delegate representation duties to other members of the Governing Body.       

 

The Treasurer

 

The treasurer of PHILANTHROPIC PROJECT INTERNATIONAL, member of the Governing Body, sees that accounts are regular and keeps probative books. The treasurer shall give directives to the Executive Body in the field of Finance. Finally, he is accountable to the General Assembly for the management of the accounts.      

 

The Secretary

The Secretary of PHILANTHROPIC PROJECT INTERNATIONAL, member of the Governing Body, is in charge of the correspondence of the organization. He drafts minutes of the meetings of the Governing Body and the General Assembly. He is also in charge of registering the deliberations of the two organs.

According to the World Bank Development, the earth's human population is approaching 7 billion. Pressures from rapidly expanding air travel, globalization of industry and trade, 24/7 news media and global 'chat" are compounded by instantaneous satellite telecommunications via the worldwide web to forge a collective consciousness as part of "global village".

As our planet evolves into complexity, increasing demands, over-congestion, overtaxing and supply, there is a need to change – “A need to change is a need for smart”. We realized that our planet is never the same as 10 years ago or even a year ago. Thus we are becoming sensitive that our quality of lives may never be the same affecting by:

• Crisis of the financial market • Nature and dangers of highly complex global systems • Global climate change due to over-pollution • Water becoming a sacred commodity • Global supply chains for food and medicine • Security concerns ranging from identity theft to terrorism • Increasing cost for the same quality of living

And indeed, this is not new, as we have encountered before. The first decade of the 21st century besieged us with a series of calls demanding a single theme – the reality of global integration. And all these issues of a hyperconnected world have surfaced and resurfaced since the start of the decade.

The planet, as we know now continues to get “smaller”, “complicated” and literally “flat”. But we see now that being connected is insufficient. At this very moment, research, talks, discussion and even execution by global leaders, top researchers

The Governing Body is the last resort reference in such fields as administration, coordination, direction and management of PHILANTHROPIC PROJECT INTERNATIONAL. It enforces decisions as per the directives and instructions set by the General Assembly.

 

On principle, the members of the Governing Body of PHILANTHROPIC PROJECT INTERNATIONAL shall work in unconditional altruism and volunteering. However, should they incur loss in carrying out their duties within the scope of their administrative mandate, they shall be paid back after having submitted the supporting documents. The financial reports submitted to the General Assembly shall highlight the payment.     

 

The overall duties and responsibilities of the Governing Body of PHILANTHROPIC PROJECT INTERNATIONAL are as follows: draft the Constitution and the Internal Rules and Regulations; make proposals for the amendment of the Constitution or the Internal Rules and Regulations; guarantee the execution of the decisions of the General Assembly; guarantee a good management of the assets of the organization; guarantee the drafting of narrative and financial reports of the previous year; submit the action plan proposal for the forthcoming year; guarantee the implementation of the development projects and programs; etc.

 

The Governing body is invested with the powers of management and administration of PHILANTHROPIC PROJECT INTERNATIONAL. The members of the said organ shall carry out the following duties: working out the strategic plan of the organization; review and approve the action plan of each year; adopt the budget and approve the accounts; approve the management of the Executive board and any other organs. 

 

The Governing Body shall authorize and supervise the drafting of the Staff Rules and Regulations by giving directives related to : terms and conditions of employment and promotion; conditions and rates of remuneration, as well as the remuneration in kind to be granted to the staff; appoint or recruit and dismiss the members of the Executive Board.

 

The Governing Body shall also authorize the drafting of the management documents of PHILANTHROPIC PROJECT INTERNATIONAL, notably:  the manual of programmatic, administrative, accounting and financial procedures; the Code of Conduct; and the manual for the drafting of documents of projects and programs. Occasionally, the Governing Body might delegate some of its duties to the Executive Board.
